The "ringing" is indeed the nerves, but it's not because you're going deaf (sorry to ruin your fun, EC :p) In fact, the ringing is always there, along with the sound of blood circulating through the blood vessels in your inner ear. Your mind is able to tune out any constant or repetative noise, that's why people that live near heavilly trafficed roads don't notice the noise after a while, or the humming of mechanical equipment/high voltage electrical equipment/computer fans don't really interfere with your day to day life (if you are around them for an extended period of time.)
You can actually hear both the nerves (high pitch) and the blood being circulated (low pitch) if you go into a anechoic chamber. You may have seen a picture of it before, it is a large open room with no permanent floor to stand on, all of the walls are covered in foam pyramids of varying size and dimensions. Something close to 99.3% of all sound is deflected and absorbed by the room (this is beneficial when testing equipment for very accurate measurments of sound produced from it)
When presented with such a lack of outside sounds, the brain can no longer completely tune out these sounds that come from within the inner ear complex.
This lack of absolute silence is what prompted John Cage to produce an atrocious work of modern art known as 4'33"
